| BOARD (4) Definition: A group of people who have power to make decisions and control a company or other organization. ______________________________________________________________________ * All twelve elements should be in. 1. Purposeful and necessary to have select group. 2. Lawfully constituted and properly inaugurated, with specific and identifiable, measurable and/or assessable roles (= powers). 3. Persons in group are believed qualified, by appointments, qualifications, experiences, competencies, etc. 4. Will always form a quorum before commencement of a sitting. And its administration or organization (secretariat) and management will be conducive for all members. 5. Will follow, to the letter, its own procedures, to convene, conduct, vote, postpone, conclude, etc. its meetings. That is, its activities will not be faulted, in the future, if challenged in law. 6. Its members will declare their interest(s), if any, in an agenda item, to be discussed or voted on (connect to #5). _________________________ UNITED AND TRUSTED. (See perfect RISK-TAKING.) 7. Members in group will freely and independently, vigorously or thoroughly debate issues brought before it. Meets regularly as demanded by the rules and regulations of company, organization, etc. establishing the organ. 11. Keeps a record, and where necessary, makes appropriate filings, of the minutes, resolutions, etc. 12. Serves purpose(s) or achieves objective(s).
