| MERGER Definition: [ ~ (between/of A and B)/ ~ (with something) ] The act of joining two or more organizations or businesses into one. ______________________________________________________________________ * All seven elements should be in. 1. Purposeful - as will be hoped for by the respective managements, boards, shareholders, stakeholders, etc. 2. Considered a necessity, after appropriate assessment is undertaken by qualified consultants or professionals. 3. Terms and conditions and applicable or guiding procedures are stated and are all acceptable to all the parties concerned, before start of process. 4. All legal requirements will be fulfilled during the process. That is, act will not be declared illegal after expenses would have been incurred by organizations or businesses that made efforts to be joined together. 5. Joining occurs timely to help achieve desired goal(s). That is, 'speed' is right and all the phases will be gone through. 6. New entity will be able to stand on its own. That is, there will be no immediate need for new 'giant' to join with another entity, or to break up or end union, soon after conclusion of joining process. 7. Act achieves goal(s) and will not be regretted. That is, no unplanned loss will occur from act and new 'behemoth', fulfills the aspirations of owner(s).
