| FLOTATION (1) Definitions: i. (business) The process of selling shares in a company to the public for the first time in order to raise money. ii. Act of starting a business, especially a limited liability company. ______________________________________________________________________ * All ten elements should be in. 1. Purposeful and necessary to raise capital, in the opinion of owners and/or management or the Board. 2. Appropriate approval is obtained from the regulatory authorities before commencement of fund-raising processes. 3. Procedures and stages as approved are complied with. That is, application, publication/publicity, notification, etc., etc. are all in order. 4. The company is not greatly indebted or is not making steady losses at the particular period in time. And this can be confirmed by published audited and approved financial results/accounts. That is, what is being done is, strictly speaking, not a recapitalization. 5. Specific project(s) that funds is/are meant for is/are known, specific and identifiable, before process is started. 6. Details printed in the prospectus and/or private placement memorandum are factual or correct, current and complete. 7. Shares are or will be fully subscribed. And where oversubscribed, refunds of rejected applications are made, with its full interest component, as soon as possible, after the offer has closed. 8. Process is ethically conducted, such that no individual or group acquires a controlling stake in the company (to emphasize). 9. Money raised will be judiciously used or invested - research and development, expansion/diversification, research, product improvement, etc., etc. That is finance obtained is properly managed and serves purpose(s). 10.
