CLAUSE (2)

Definitions:

i. An item in a legal document that says that a particular thing must or must not be done.

ii. A distinct article or proviso in a legal document, agreement or treaty.

1. Purposeful, that is, intended to achieve a specific thing.

2. Clear and unambiguous, not confusing or obscurantist.

3. Can easily be invoked by the parties to the agreement, deal, etc. That is, the parties have the capacity to fulfill the proviso.

4. If taken advantage of, where applicable, helps to achieve an objective, by one or more of the parties concerned.

5. Specific and identifiable. That is, numbered!
